1. Agreement
These Terms of Service ("Terms") govern your use of the Eshul platform operated by Eshul LLC ("we," "us," or "our"). By creating an account or using the service, you agree to these Terms.
2. The Service
Eshul provides a Software-as-a-Service platform for synagogues to manage members, billing, donations, communications, and prayer schedules. The service is provided to synagogues (the "Customer") and to members of those synagogues (the "End Users") through their respective accounts.
3. Accounts
You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You must notify us promptly of any unauthorized use.
4. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose;
- Attempt to interfere with or compromise the integrity or security of the service;
- Send unsolicited messages, spam, or content that violates applicable laws (including TCPA);
- Use the service to harass, defame, or harm any person.
5. Payments and Fees
Synagogues using the service agree to pay applicable subscription fees and transaction fees as described on our pricing page or in a separate agreement. Fees are non-refundable except where required by law.
6. SMS & Communications
Synagogues using SMS features warrant that they have obtained appropriate consent from recipients in accordance with applicable laws (TCPA, CTIA guidelines). Synagogues indemnify Eshul LLC against any claims arising from non-compliant outreach.
7. Intellectual Property
The Eshul software, brand, and content are owned by Eshul LLC. You receive only a limited, non-exclusive, non-transferable license to use the service during your subscription. Synagogues retain ownership of the data they upload.
8. Disclaimers
The service is provided "as is" and "as available." We do not guarantee uninterrupted operation or freedom from errors. To the maximum extent permitted by law, we disclaim all warranties, express or implied.
9. Limitation of Liability
To the maximum extent permitted by law, Eshul LLC's total liability under these Terms shall not exceed the fees you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
10. Termination
Either party may terminate the agreement on 30 days' written notice. We may suspend or terminate the service immediately if you materially breach these Terms or use the service in a way that creates risk for us or other users.
11. Changes
We may update these Terms from time to time. Material changes will be communicated through the platform or by email. Continued use of the service after changes take effect constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Ocean County, New Jersey.
